Terms of Use

Last Updated: 01/01/2026

These Product / SaaS Terms of Use (“Terms”) govern access to and use of the Defendermate software platform, applications, APIs, and related services (collectively, the “Service”) provided by Defendermate, Inc. (“Defendermate,” “we,” “us,” or “our”).

By accessing or using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1. Definitions

“Customer Data”
means data, content, or information provided, uploaded, submitted, or otherwise made available to the Service by or on behalf of Customer.
“Free Services”
means features or tiers of the Service made available without payment, which may include analysis based on publicly available or licensed third-party threat intelligence and limited, ad hoc Customer Data provided directly by Customer, subject to restrictions and limitations.
“Paid Services”
means features or tiers of the Service provided pursuant to an Order Form that include ongoing ingestion, integration, or analysis of Customer environments, systems, assets, identities, or configurations.
“Order Form”
means a mutually executed ordering document or in-product subscription specifying Paid Services, fees, and term.

2. Scope of the Service

Defendermate provides threat exposure management platform. The Service may include:

  • Aggregation and analysis of publicly available or licensed third-party threat intelligence, exploit data, and external security signals
  • Analytical models that prioritize security findings based on external threat context
  • Limited, ad hoc analysis of Customer Data explicitly provided by Customer
  • Ongoing ingestion and correlation of Customer environment data, when enabled as part of Paid Services

Free Services primarily rely on external threat intelligence and may allow Customer Data uploads for analysis. Free Services do not include continuous ingestion, integration, or monitoring of Customer environments.

Paid Services combine external threat intelligence with Customer-provided environment data to generate environment-specific prioritization and insights.

The Service provides analytical and decision-support information only. Defendermate does not guarantee prevention of security incidents, breaches, or exploitation.

3. Account Registration and Access

Customer must create an account to access the Service and provide accurate and current information. Customer is responsible for:

  • Maintaining the confidentiality of account credentials
  • Managing user access and permissions
  • All activity occurring under its accounts

Defendermate is not responsible for unauthorized access resulting from Customer's failure to secure credentials.

4. License Grant and Restrictions

Subject to these Terms, Defendermate grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes only. Customer shall not:

  • Resell, sublicense, or make the Service available to third parties
  • Reverse engineer, decompile, or attempt to derive source code
  • Circumvent usage limits or access controls
  • Use the Service for unauthorized offensive security activity
  • Use the Service in violation of applicable laws or regulations

All rights not expressly granted are reserved by Defendermate.

5. Free Services

Defendermate may offer Free Services at its discretion. Customer acknowledges and agrees that Free Services:

  • May include limited analysis based on external threat intelligence and limited, ad hoc Customer Data uploads
  • Do not include continuous ingestion, automated integration, or monitoring of Customer environments
  • Provide generalized or partial prioritization guidance that may lack full organizational context
  • Do not reflect complete or comprehensive Customer-specific exposure or risk

Customer is solely responsible for ensuring it has rights and authorization to upload any Customer Data used with Free Services.

Free Services are informational in nature and are not a substitute for environment-specific security assessment or remediation.

Free Services may be limited in functionality, usage, data retention, data freshness, or output granularity and may be modified, throttled, suspended, or discontinued at any time without notice.

Defendermate provides no service levels, uptime commitments, or support obligations for Free Services.

6. Paid Services and Subscriptions

Paid Services are provided only pursuant to an Order Form.

Paid Services may include ongoing ingestion, integration, and analysis of Customer environments and require Customer authorization to access such systems and data.

Access to specific features, integrations, data volumes, exports, APIs, remediation workflows, or analytics depends on the Customer's subscription plan.

Customer may upgrade from Free Services to Paid Services by executing an Order Form or completing an in-product upgrade.

7. Fees and Payment

Customer agrees to pay all fees specified in the applicable Order Form.

Unless expressly stated otherwise, fees are non-refundable. Failure to pay may result in suspension or termination of Paid Services.

Fees exclude taxes. Customer is responsible for applicable taxes, excluding taxes based on Defendermate's income.

8. Customer Responsibilities and Authorization

Customer represents and warrants that:

  • It owns or has authorization to provide all Customer Data submitted to the Service
  • Any systems, data, or artifacts analyzed are owned or controlled by Customer or used with proper authorization
  • Its use of the Service complies with all applicable laws and regulations
  • Customer Data does not violate third-party rights

Customer is solely responsible for decisions, actions, and remediation taken based on outputs of the Service.

Customer acknowledges that comprehensive, environment-specific prioritization generally requires Paid Services and that Free Services alone may be insufficient to determine actual exposure or remediation priority.

9. Customer Data and Data Protection

Customer retains all right, title, and interest in Customer Data.

Customer grants Defendermate a limited right to process Customer Data solely to provide, operate, secure, and improve the Service.

For Customer Data processed through the Service:

  • Customer acts as data controller
  • Defendermate acts as data processor, where applicable
  • Processing is governed by the Defendermate Product Privacy Policy and any applicable Data Processing Agreement

10. Acceptable Use

Customer shall not use the Service to:

  • Scan or analyze systems without authorization
  • Conduct illegal surveillance or monitoring
  • Develop, distribute, or facilitate malware
  • Interfere with or disrupt the Service
  • Attempt unauthorized access to systems or data

Defendermate may suspend or terminate access immediately for violations of this section.

11. Security Findings Disclaimer

Customer acknowledges that:

  • Findings are probabilistic and contextual
  • Absence of findings does not imply absence of risk
  • Results depend on data quality, configuration, and external factors
  • Outputs generated from Free Services, including those based on limited Customer Data uploads, do not constitute comprehensive or continuous findings specific to Customer environments

Defendermate does not provide legal, regulatory, compliance, or breach-prevention guarantees.

12. Intellectual Property

Defendermate retains all rights, title, and interest in the Service, including software, algorithms, models, methodologies, documentation, and interfaces.

Customer feedback may be used by Defendermate without restriction or obligation.

13. Confidentiality

Each party may receive confidential information from the other and agrees to protect such information using reasonable care and to use it solely for purposes of these Terms.

Confidentiality obligations survive termination.

14. Term and Termination

These Terms remain in effect while Customer uses the Service. Defendermate may suspend or terminate access immediately for:

  • Security risk
  • Abuse or misuse
  • Violation of these Terms
  • Nonpayment

Upon termination, access to the Service will cease and Customer Data will be handled in accordance with the Product Privacy Policy and any applicable Data Processing Agreement.

15. Warranty Disclaimer

The Service is provided “as is” and “as available.”

Without limiting the foregoing, Defendermate provides Free Services without any warranties or service level commitments.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Defendermate shall have no liability arising from or related to Free Services
  • Defendermate shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Defendermate's total liability for Paid Services shall not exceed fees paid by Customer in the 12 months preceding the claim

17. Indemnification

Customer agrees to indemnify and hold harmless Defendermate from claims arising from:

  • Unauthorized or unlawful use of the Service
  • Violation of laws or third-party rights
  • Customer Data or Customer systems

18. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict of law principles.
